Why would a company that is acquiring companies give up $40 million to buy stock that is paying out 1.5% dividends annually?

Q: I'm tempted to purchase Constellation (CSU) but am concerned about whether there is still much upside potential in the next couple of years. I know you did a report on it in Oct 2012, giving it an excellent grade, but it was $103.78. Today it's trading around $135 meaning it's gained around 30% in the last 7 months. I'm surprised no one has asked already, comments regarding the Panasonic deal and shareholder outreach?
I understand that Wi-lan can't really comment on how much deals are worth as they are negotiating with other parties. However it makes it a little difficult to assess news. Was today's panasonic news worth $1 dollar, a game changer, or somewhere in the middle (hopefully more on the latter end)?
