Q: Hi 5i,

Can you please comment on their latest announced acquisition recommendation and your thoughts?

I've also noticed insider trading with executives acceptance of their Grant of Options at various amount of liquidity that's above current share prices. Could you comment on what potential signals that could be?

5i Research Answer:

VitalHub announced it has agreed to acquire Induction Healthcare Group by way of a court-sanctioned scheme of arrangement. VHI intends to purchase Induction in an all-cash transaction for £0.10/sh, representing an enterprise value of ~£9.7M (~C$17.6M). Induction directors representing a total of 44.3% of its shares will unanimously recommend shareholders vote in favour of the transaction. Against VHI's $532M market cap, it is a very small transaction. But it looks like a good roll-up acquisition. Induction offers a suite of software solutions to help providers and administrators manage patient care. The options were likely granted previously when the stock was higher. We would not really view it as positive or negative.
