I own KMP.UN and just received a large package from them requesting I vote for or against.
They are asking shareholders to approve the plan of arrangement as Appendix E.
I made an attempt to go through it and understand what they were proposing but admit it wasn't clear to me.
Could you please clarify what they are asking shareholders to vote on and interpret it for us in simple talk.

In simple terms, the company is 'flattening' its corporate ownership structure to save taxes. It has a wholly-owned subsidiary, KPI, and this is being eliminated. This will save on corporate taxes and make the company a little bit easier to understand, with the elimination of one layer of inter-company subsidiaries. Because it is 100% owned, there is no real impact to unit holders, other than the possibility of lower taxes, which ultimately could lead to higher distributions.
